Lamb Weston Holdings, Inc. (LW, Financial) has entered into a Cooperation Agreement with JANA Partners Management, LP and Continental Grain Company, marking a significant shift in its board structure. The agreement, effective June 30, 2025, outlines a strategic plan to expand the Board of Directors from 11 to 13 members, incorporating new directors with diverse expertise.

As part of the agreement, Lamb Weston will appoint Bradley Alford, Timothy R. McLevish, Scott Ostfeld, Ruth Kimmelshue, Paul Maass, and Lawrence Kurzius as directors. These appointments are set to enhance the board's capabilities, with each director bringing a wealth of experience from various sectors, including consumer goods, agribusiness, and corporate finance.

The restructuring also involves the resignation of current board members Charles A. Blixt, W.G. Jurgensen, Robert A. Niblock, and Maria Renna Sharpe. The new board composition aims to align with the company's strategic goals and shareholder interests, with Bradley Alford appointed as the new Chairman of the Board.

In addition to board changes, the agreement includes the reconstitution of the board's standing committees. The Audit and Finance Committee, Compensation and Human Capital Committee, and Nominating and Corporate Governance Committee will see new leadership and membership, reflecting the company's commitment to robust governance practices.

The Cooperation Agreement also contains mutual non-disparagement provisions and outlines voting commitments by the Shareholder Parties, ensuring alignment with the board's recommendations on key proposals. This strategic move is designed to foster collaboration and drive long-term value for Lamb Weston and its shareholders.

The changes are expected to be fully effective by July 11, 2025, pending a written request from JANA. This development underscores Lamb Weston's proactive approach to governance and its dedication to enhancing shareholder value through strategic partnerships and board diversity.
